The Importance of Lay Council Members at Durham University

At the heart of its governance is the University Council, the institution’s governing body and Trustee Board, which holds ultimate responsibility for the University’s affairs, strategic direction, and financial stewardship.
Non-Executive Directors (NEDs), or lay members of Council, play a pivotal role in ensuring Durham’s continued success. They provide independent insight, strategic challenge, and robust governance, supporting the Vice-Chancellor and Executive Team to maintain the University’s high standards and financial stability. NEDs are instrumental in shaping the University’s mission, monitoring performance, and safeguarding its long-term interests, especially during periods of sector-wide change and transformation.
The Council values individuals with extensive experience in complex or regulated organisations, particularly those who have led or supported change in times of disruption. Previous NED experience is preferred, and for the Finance Chair, strategic finance expertise is essential. Council members are expected to demonstrate high personal integrity, sound judgement, and a strong commitment to the University’s values, including diversity, equality, and inclusion.
